Professional Engagement
Our services are provided on a professional basis. Specific project scope, deliverables, timelines, and compensation are detailed in separate project agreements or statements of work. These terms govern the general relationship and obligations between parties.
No Financial or Investment Advice
Nothing in our services, communications, or materials constitutes financial, investment, or trading advice. We are technology consultants, not financial advisors. You should consult qualified professionals for investment decisions.
User Responsibilities
Accurate Information
You agree to provide accurate, complete, and current information when engaging with our services. Providing false or misleading information may result in termination of services.
Authorized Use
You agree to use our services only for lawful purposes and in accordance with these terms. You must not use our services for any illegal activities, fraud, or to infringe upon the rights of others.
Blockchain Security
You are responsible for maintaining the security of your blockchain wallets, private keys, and cryptographic credentials. Never share private keys with anyone, including our team. Astragen will never request your private keys.
Confidentiality
You agree to maintain the confidentiality of any proprietary information, materials, or code shared by Astragen during our engagement unless otherwise agreed in writing.
Intellectual Property
Astragen's Intellectual Property
All content, materials, code, designs, and intellectual property developed or owned by Astragen, including but not limited to our website, documentation, proprietary methodologies, and reusable code libraries, remain the exclusive property of Astragen unless otherwise agreed in writing.
Client Work Products
Unless otherwise specified in a project agreement, custom code and deliverables developed specifically for a client are licensed to the client for their use under agreed terms. Astragen retains rights to any reusable components, frameworks, or methodologies.
Open Source and Third-Party
Some components may incorporate open-source software or third-party libraries subject to their respective licenses. We respect and comply with all open-source license obligations.
Payment and Billing
Fees and Payment Terms
Project fees, payment schedules, and billing terms are specified in individual project agreements or statements of work. We accept various payment methods as specified in our engagement documents.
Deposits and Milestones
For larger projects, we may require an upfront deposit or work on a milestone-based billing structure. All terms are clearly outlined in project agreements before work commences.
Late Payments
Payments not made within the agreed timeframe may result in project delays or suspension of services. Late payments may be subject to late fees as specified in project agreements.
Limitations and Disclaimers
No Warranties
Our services are provided 'as is' without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
Blockchain Risks
You acknowledge and understand that blockchain technology involves inherent risks including but not limited to: smart contract vulnerabilities, network congestion, protocol changes, regulatory uncertainty, and market volatility. Astragen does not guarantee or warrant the performance or security of any blockchain network.
No Liability
To the maximum extent permitted by law, Astragen shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, or business opportunity, arising out of or related to our services.
Project Termination
Termination by Either Party
Either party may terminate an engagement with reasonable notice, as specified in project agreements. Upon termination, you are responsible for payment for all work completed and expenses incurred up to the termination date.
Effect of Termination
Upon termination, we will deliver all completed work products subject to payment of all outstanding fees. Certain rights and obligations, including confidentiality, intellectual property, and liability limitations, will survive termination.
Important Disclaimer
These Terms of Service are a general agreement and may be supplemented or modified by specific project agreements or statements of work. In case of conflict between these general terms and specific project agreements, the project agreements shall prevail to the extent of the conflict.
